Job Description
Corporate governance is essential for guiding a business and ensuring its accountability to stakeholders. It involves processes that dictate how a company is operated, regulated, and controlled, with a focus on ethical standards, best practices, and relevant laws to protect shareholders' interests.
Responsibilities:
Maintaining and Updating Governance Framework:
Ensure the governance framework is current and in line with best practices.
Regularly update policies and procedures to reflect changes in regulations or business practices.
Monitoring Compliance:
Monitor compliance with governance requirements.
Identify areas for improvement and implement corrective actions as needed.
Coordinating Governance Committee and Board Meetings:
Organize and schedule meetings for governance committees and board members.
Prepare meeting agendas and documentation, and ensure timely distribution to attendees.
Monitoring Business Processes:
Oversee and monitor specific business processes to ensure adherence to governance standards.
Analyze monthly reports to identify trends or issues that may require attention.
Establishing and Maintaining Operational Procedures:
Create and maintain operational procedures manuals.
Analyze operational data to identify areas for improvement.
Facilitating Information Flow:
Provide key information to managers, board members, and committees.
Facilitate communication between various stakeholders to ensure transparency and accountability.
Liaising with Board Members:
Respond to board members' requests for information.
Provide support and assistance as needed.
Legal Research and Analysis:
Conduct legal research and analysis to inform the development of reports, assessments, policy briefs, guidelines, and communication materials.
Qualifications:
Bachelor's degree in a related field.
Proficiency in English and Arabic would be an asset.
1 to 2 years of relevant experience.
Previous experience working with a board of directors is preferred.
